Terms of Service
Last updated 18 October 2026
These Terms of Service are an agreement between your business and Sitelytc Digital Media Private Limited for the use of Kritvia. Please read them with our Privacy Policy.
1. Who these terms are between
1.1 These Terms of Service (the Terms) are a binding agreement between Sitelytc Digital Media Private Limited, a company incorporated under the Companies Act, 2013 (CIN U63121DL2025PTC453508), with its registered office in New Delhi, India (Sitelytc, we, us) and the business or other entity that creates a Kritvia organisation or buys a plan (the Customer, you).
1.2 The person who accepts these Terms confirms that they are at least 18 years old and have authority to bind the Customer. If they do not have that authority, they accept these Terms personally.
1.3 You accept these Terms by ticking the acceptance box when you sign up, by paying for a plan, or by signing an order form that refers to them. We keep a record of the version you accepted and when.
1.4 Kritvia is offered only for business and professional use. You confirm that you are not acting as a consumer within the meaning of the Consumer Protection Act, 2019 in using it.
1.5 If you sign a separate written agreement or order form with us, it prevails over these Terms where the two conflict.
2. Definitions
- Service: the Kritvia software we host and make available at app.sitelytc.com, the Kritvia desktop and installable apps, and their APIs, help pages and updates.
- Account Data: personal data about your Users that we need to run their accounts: name, email address, sign-in records, settings and billing contact details.
- Customer Data: all data, documents, messages, recordings and other content that you or your Users put into the Service, or that the Service fetches from a Connected Service on your instruction, including any personal data in it. Customer Data includes Outputs.
- Output: text, drafts, summaries, extracted fields and other content the Service generates for you from Customer Data.
- Connected Service: a third-party service you link to Kritvia, such as Google Workspace (Gmail, Calendar, Drive), WhatsApp Business Platform, a Telegram bot, Slack, your own Razorpay account, an app connected through its MCP server, or Tally.
- Agent: a configured workflow in the Service that uses AI models to read Customer Data and propose or take actions.
- Approval: the step in which a User reviews an Agent's proposed action and approves, edits or rejects it before it is carried out.
- User: an individual you invite or permit to use the Service under your organisation, including your employees and contractors.
- Plan: the subscription tier you choose (currently Free, Starter, Growth, Scale or Enterprise), with the limits shown on our pricing page and in the app.
- DPDP Act: the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025, as they come into force and as amended.
3. The Service
3.1 Subject to these Terms and payment of the applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right during the term to access and use the Service for your internal business purposes, within the limits of your Plan.
3.2 We may improve, change or withdraw features from time to time. We will not make a change that materially reduces the core functionality of a paid Plan during a paid billing period. If we withdraw a feature you pay for, you may cancel and receive a pro-rata refund of fees prepaid for the period after withdrawal.
3.3 Features marked beta, preview or early access are provided as-is, may change or stop without notice, and are excluded from any service commitment.
3.4 Plan limits (for example the number of businesses, Users and hosted-AI tokens per month) are part of the Service description. When a limit is reached, the Service may pause the affected function, fall back to an on-server model, or prompt you to upgrade. It will not delete your data because a limit is reached.
4. Accounts, Users and administrators
4.1 You are responsible for your Users and for everything done through your organisation's accounts, as if done by you. You must ensure each User complies with these Terms.
4.2 You and your Users must give accurate sign-up information, keep passwords and sign-in codes confidential, and tell us promptly at support@sitelytc.com (opens in a new tab) if you suspect unauthorised access.
4.3 Your organisation owner and administrators control who can join, what roles they hold, which Agents run, which Connected Services are linked, and whether any Agent may act without Approval. Their decisions bind you.
4.4 Each User account is for one individual. Users must not share sign-in credentials.
4.5 The Service is not directed at children. Users must be at least 18 years old, and each User confirms this when they accept these Terms. We will close any account we learn belongs to someone under 18.
4.6 Single sign-on. On Plans that include it, an owner can set up single sign-on so that people with your email domain sign in through your own identity provider (such as Google Workspace or Microsoft Entra ID). You must own the domain and prove it with the DNS record the Service shows. Your identity provider then decides who can sign in for that domain, so you are responsible for its accounts and settings: when someone should lose access, switch off their account there or remove them from your organisation in Kritvia. Only people who already have a Kritvia account or an invitation to your organisation are let in. If you require single sign-on, people with your domain cannot sign in in any other way; sessions already open continue until they end or you remove the person.
4.7 API keys. On Plans that include API access, an owner can make keys that let your own systems use part of the Service's API on your organisation's behalf. A key acts as the owner who made it, within its scope (read, or read and add). Keep keys secret and revoke a key at once if it may have been exposed: everything done with a key is treated as done by you. Each key is limited to the endpoints and rate the app shows, stops working if your Plan no longer includes API access or its maker stops being an owner, and must not be used to get around the Service's limits or Approvals, or to give anyone outside your organisation access to it.
5. Customer Data
5.1 Ownership. As between you and us, you own all Customer Data, including Outputs. You grant us a limited, worldwide licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Service for you, and as otherwise set out in clause 6.
5.2 No training, no sale. We do not sell Customer Data. We do not use Customer Data to train, fine-tune or improve AI models, whether ours or anyone else's. If you switch on free models that may learn from content (clause 7.5), those providers may use the content they receive under their own terms.
5.3 Your responsibilities. You are responsible for the accuracy, quality and legality of Customer Data and for how you obtained it. You confirm that you have given every notice and obtained every consent (or have another lawful ground) that the DPDP Act and other applicable law require for you to put personal data into the Service, to have it processed as described in these Terms and our Privacy Policy, and to have Agents contact the people concerned.
5.4 Sensitive records. You must mark as sensitive, or keep in a role-restricted area, any document that contains financial, identity or health information. The Service also detects common Indian identity and financial numbers automatically, but detection is not guaranteed. You must not put into the Service data that any law requires to be stored or processed only in a specific manner the Service does not support, unless we have agreed this in writing.
6. Data processing terms
6.1 Roles. For personal data within Customer Data, you are the Data Fiduciary and we are your Data Processor under the DPDP Act. For Account Data, we are a Data Fiduciary and our Privacy Policy applies. This clause 6 is the contract required by section 8(2) of the DPDP Act between you and us.
6.2 Instructions. We process personal data in Customer Data only on your documented instructions. These Terms, your Plan, your settings in the Service and your Users' actions in it are your complete instructions. We will tell you if we believe an instruction breaks the law.
6.3 Our people. Only personnel who need access to provide or secure the Service may access Customer Data. They are bound by confidentiality. We do not read your content except to provide support you ask for, to investigate security incidents or abuse, or where law requires it.
6.4 Security. We maintain reasonable security safeguards, including those described on our Security page: encryption in transit and of sensitive fields at rest, tenant isolation in the database, access controls, logging and monitoring, and encrypted backups.
6.5 Sub-processors. You authorise us to use the sub-processors listed in our Privacy Policy. We impose data protection obligations on each that are no less protective than this clause, and remain responsible for them. We will give at least 15 days' notice by email or in-app before adding or replacing a sub-processor. If you object on reasonable data protection grounds and we cannot address the objection, you may terminate the affected Plan and receive a pro-rata refund of prepaid fees.
6.6 Location. We host Customer Data in India (Mumbai). Some processing by AI and communication sub-processors may take place outside India, as listed in the Privacy Policy. We will not transfer personal data to a country or territory the Government of India has restricted under section 16 of the DPDP Act.
6.7 Personal data breach. We will notify you without undue delay, and in any case within 24 hours, after we become aware of a personal data breach affecting Customer Data. Our notice will describe what happened, the data and people likely affected, the measures taken and the measures you may need to take. We will give you the information and help you reasonably need to inform the Data Protection Board of India and affected people within the periods the DPDP Act sets, and we will report to CERT-In where the law requires us to.
6.8 Rights requests. The Service gives you tools to find, export, correct and erase personal data. If a person contacts us about Customer Data, we will refer them to you and will not respond directly unless law requires it. We will help you, at your cost where the effort is substantial, to respond to requests under the DPDP Act within the time it allows.
6.9 Deletion and return. You can export Customer Data at any time during the term. On termination we delete Customer Data as described in clause 18, unless law requires us to keep it.
6.10 Records and audit. On reasonable written request, not more than once a year, we will provide written answers to your security questionnaire and a summary of our most recent independent security test. Any on-site audit needs our prior agreement on scope, timing, confidentiality and cost.
7. AI features and Approvals
7.1 Nature of Outputs. Outputs are generated by machine-learning models. They may be inaccurate, incomplete, out of date or unsuitable, and similar inputs may give different Outputs. You must review Outputs before you rely on them or send them to anyone.
7.2 The Approval gate. By default, an Agent's action that leaves the Service, such as sending an email or WhatsApp message, creating a calendar event or sharing a proposal, waits for a User's Approval. Once a User approves, edits and approves, or sets up an action, that action is your action and you are responsible for it. A User may give Approval in the Service or, if they have linked it, from Telegram, WhatsApp or Slack; an Approval given there has the same effect, and you are responsible for keeping those chat accounts and phones secure. A request a User sends Kritvia from a linked Telegram chat or WhatsApp number is treated as that User's request in the Service. Approving a reply that offers a booking also makes that booking in your calendar.
7.3 Acting without Approval. On Plans that allow it, an administrator may let an Agent act without Approval for defined actions. If you switch this on, you accept responsibility for every action the Agent takes within that permission, and you must monitor the Agent's activity log. You can switch it off at any time.
7.4 No professional advice. The Service does not give legal, tax, accounting, credit, lending, medical or investment advice. Loan-document checks, forecasts and similar features support, but do not replace, your own professional judgement and any verification the law or your regulator requires of you. You must not use Outputs as the sole basis for a decision that has legal or similarly significant effects on an individual.
7.5 Models and routing. We choose which AI model handles each task, based on the task, your Plan and the sensitivity of the data. Documents marked or detected as sensitive are processed only by models running on our own servers. By default, other tasks are processed by free hosted models whose providers do not train on the content (listed in the Privacy Policy). An owner may also switch on free models whose providers may learn from the content they receive. We never use those for sensitive records, or for a business with Google Workspace connected.
7.6 Your own AI keys. An owner may add the organisation's own API key for a supported AI provider. Agents then try that provider first for ordinary tasks. You are responsible for your agreement with that provider and for its charges; that provider is your service provider, not our sub-processor. We store the key encrypted, use it only for your organisation, never show it again, and stop using it if you remove it or the provider rejects it. Usage on your own key does not count against your Plan's hosted-AI allowance.
7.7 Usage meters. The hosted-AI tokens, spend figures and budgets shown in the Service are estimates for managing usage. Billing is by Plan, not by those figures, unless your order form says otherwise.
7.8 Tax invoices. The Service can number and lay out GST tax invoices from the details you enter, such as your GSTIN, your customer's GSTIN, place of supply, HSN or SAC codes and tax rates. You are responsible for those details, for whether each invoice is correct and required, and for your GST returns. The Service does not file returns or generate e-invoices (IRN) or e-way bills. To keep each series gapless, an issued invoice's number, customer, amounts and date cannot be changed; if one is wrong, correct it as GST law requires, for example with a credit note.
7.9 Payments from your customers. Payment pages, UPI links and QR codes let your customers pay you directly, to your UPI ID or through your own Razorpay account. We are not a party to those payments, we never hold the money, and we are not responsible for refunds, chargebacks or disputes between you and your customers. An invoice is marked paid when Razorpay tells us its payment link was paid, or when a User records the payment. A customer saying they have paid does not mark it paid until a User confirms it.
7.10 Reviews. The reviews agent drafts requests to your customers for a Google review and drafts replies to reviews for you to post in Google yourself. You must follow Google's policies: do not offer anything in return for a review, do not ask only the customers you expect to be happy, and do not write reviews of your own business.
7.11 Automations. You can describe a scheduled report or task in your own words. The Service turns it into a schedule, which it shows you before saving. Check that it is what you meant. Reports go only to the destinations you choose, and anything sent to your customers still waits for Approval as clause 7.2 describes.
7.12 Shipment files and trade documents. For exporters, importers and customs clearing and forwarding agents, the Service keeps shipment files, prints export invoices and packing lists from what you enter, and reminds you of dates such as cut-offs, letter of credit expiry, export proceeds to be realised and goods waiting at port. You are responsible for the accuracy of what you enter and print, for the HS codes, values and declarations on your documents, and for meeting customs, foreign exchange (FEMA and RBI) and GST rules, including filing shipping bills, bills of entry and LUTs and realising export proceeds on time. The Service does not file anything with customs, DGFT, the GST portal or your bank. Its reminders depend on the dates in your files and on the realisation period you set, and they are not legal, tax or customs advice. Status updates to your buyers, suppliers or clients are sent only after your Approval, as clause 7.2 describes.
7.13 Skills and team leads. A skill repeats a job you describe, on demand, on a schedule or when something happens, and may learn short lessons from how your Users edit or reject its drafts; you can read and remove those lessons. A team lead checks in on the days you choose, works towards the goal you set, may hand work to another lead, and reports to the User who set it up. Skills and leads use the same tools and Approvals as every other Agent, and count against your Plan's allowance and any budget you set. Starter kits only add agents, automations, skills and goals that you can change or switch off; they never remove what you have.
7.14 Browser agent. On your instruction, the browser agent opens public websites on a browser run by us, reads them, and may fill in a form. It sends a form only after a User approves exactly what will be sent; that submission is then your action under clause 7.2. It does not sign in, create accounts, pay, solve CAPTCHAs, upload files or type passwords, card numbers, one-time codes, Aadhaar, PAN or bank details. You are responsible for having the right to use each website as you ask, and for following its terms. Information read from websites may be wrong or out of date; check it before you rely on it.
7.15 AI phone calls. If you connect a phone number from your own Exotel or Twilio account, Kritvia answers calls to it, can put callers through to the number you choose, and can call people for you after a User approves each call. Kritvia always tells the other person that it is your AI assistant. We are not a telecom service provider; Exotel or Twilio carries the calls under your agreement with it, and you pay its charges. If you use speech services with your own keys, they process the audio of your calls under your agreement with them, and you pay their charges. You are responsible for meeting the law on calls, including TRAI's Telecom Commercial Communications Customer Preference Regulations, 2018: you must register on a DLT platform and use a registered caller id before switching on outbound calls; you may call only your own customers, for service or transactional purposes and never for promotion; and you must respect their preferences and any request not to be called. The Service calls only between 9 am and 9 pm in your time zone, at most once a day per number, and never a number on your do-not-call list, but it cannot check registrations or consent for you. The AI can mishear or misunderstand: messages and booking requests it takes need a User's follow-up, and you must not use it for emergencies or anything a caller's safety depends on.
8. Connected Services
8.1 When you link a Connected Service, you authorise us to access it on your behalf with the permissions you grant on its consent screen, and to read, store and act on data from it as needed to run the features you switch on.
8.2 Your use of a Connected Service is governed by your agreement with its provider. We are not responsible for a Connected Service, its availability, or changes its provider makes that affect Kritvia.
8.3 Our use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. In particular, we use Google user data only to provide the user-facing features you switch on, we do not use it for advertising, and we do not use it to train generalised AI or machine-learning models.
8.4 You may disconnect a Connected Service at any time in the app or in the provider's own security settings. We then stop fetching new data from it. Data already imported stays in Kritvia as Customer Data until you delete it.
8.5 When you give us a key or token for a Connected Service, such as an IndiaMART Lead Manager key, a Twilio auth token, an Exotel API token or a speech service's key, we store it encrypted, use it only for your business, and never show it again. Enquiries fetched from IndiaMART become Customer Data.
9. Acceptable use
You must not, and must not let anyone, use the Service to:
- break any law, including the DPDP Act, the Information Technology Act, 2000 and rules under it, and TRAI's rules on unsolicited commercial communications;
- send bulk or unsolicited messages, or message anyone who has opted out or registered a do-not-disturb preference that applies to you;
- process personal data you have no right to process, or collect personal data of children without verifiable consent of a parent or lawful guardian;
- upload malware, or content that is defamatory, obscene, infringing, or that the IT (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 prohibit;
- impersonate any person, or present an Output as written by a human where that would mislead the recipient in a way the law prohibits;
- probe, scan or test the vulnerability of the Service, or bypass its security, Plan limits or rate limits, except under a written testing agreement with us;
- overload the Service, or access it by automated means other than our published APIs;
- copy, resell, or reverse-engineer the Service, or use it to build a competing product; or
- use the Service for weapons, surveillance of individuals without lawful authority, or any decision about an individual's credit, employment, housing or insurance that rests solely on an Output;
- make calls with the Service to people who are not your customers, for promotion, or to anyone who has asked not to be called, or hide that the caller is an AI; or
- use the browser agent to get around a website's sign-in, paywall, CAPTCHA or technical limits, to collect personal data in bulk, or against the website's terms.
We may remove content or suspend access under clause 14 if we reasonably believe this clause has been broken.
10. Plans, fees and payment
10.1 Plans and prices. Current Plans and prices are shown on our pricing page and in the app. At the date of these Terms they are:
| Plan | Price | Main limits |
|---|---|---|
| Free trial | ₹0 for 15 days | 1 business, 2 Users, 300,000 hosted-AI tokens a month, 500 MB business memory, 10 proposals; every Agent action needs Approval |
| Starter | ₹2,499 a month or ₹24,990 a year | 1 business, 5 Users, 3 million hosted-AI tokens a month, 10 GB business memory; each Agent may act without Approval on one kind of action |
| Growth | ₹6,999 a month or ₹69,990 a year | 3 businesses, 15 Users, 15 million hosted-AI tokens a month, 50 GB business memory |
| Scale | ₹14,999 a month or ₹1,49,990 a year | 10 businesses, 50 Users, 50 million hosted-AI tokens a month, 250 GB business memory; also custom workflows, API access and priority processing |
| Enterprise | From ₹29,999 a month, by order form | As agreed in the order form; also everything in Scale and single sign-on |
Free trial. Each person may start one free trial. It lasts 15 days from when the organisation is created; if online payment is not yet available when it would end, it continues until 3 days after online payment opens. When the trial ends without a paid Plan, your organisation becomes read-only: you can still sign in, see, export and delete your data, but Agents stop and nothing new can be added until you choose a Plan. We do not delete Customer Data because a trial ended without at least 30 days' written notice.
Extra hosted-AI usage can be bought in packs (5 million tokens for ₹1,499, 20 million for ₹4,999, 50 million for ₹9,999), usable in the calendar month of purchase.
Features marked "Coming soon" on the pricing page are not yet available and are not part of any Plan until we release them. We may change their timing or scope, or decide not to release them; that is not a breach of these Terms, and we do not charge for them before they are released.
10.2 Billing. Paid Plans are billed monthly or yearly in advance, as you choose, through our payment partner, Razorpay, and renew automatically at the end of each period until cancelled. You authorise recurring charges to the payment method you set up. We do not see or store full card or bank details.
10.3 Taxes. The prices above are the full amount you pay. We are not currently registered for Goods and Services Tax (GST), so we do not charge GST and our invoices do not show it. If we register for GST, we will tell you at least 30 days before any change to what you pay, and from then on our invoices will be GST tax invoices that carry your GSTIN if you have given it to us. If you must deduct tax at source, you will send us the TDS certificate within the statutory time; otherwise you will pay the amount withheld.
10.4 Upgrades and downgrades. An upgrade takes effect at once; the new price applies from the next billing date unless the app shows a pro-rata charge when you upgrade. A downgrade takes effect at the end of the current billing period. If your data or Users exceed the lower Plan's limits, you must reduce them, or the Service will become read-only for the excess until you do.
10.5 Failed payments. If a renewal payment fails, we will notify you and retry. If it is still unpaid 7 days after the due date, we may make your organisation read-only, as when a free trial ends, until payment is made. We will not delete Customer Data because of non-payment without at least 30 days' further written notice.
10.6 Price changes. We may change prices by giving at least 30 days' notice by email and in the app. The new price applies from your first renewal after the notice period. If you do not agree, you may cancel before that renewal.
10.7 Cancellation and refunds. Our Cancellation, Refund and Delivery Policy explains this clause in plain terms. You may cancel a paid Plan at any time in the app. The Plan stays active until the end of the period you have paid for; your organisation then becomes read-only until you choose a Plan again. Fees are non-refundable and we do not refund part-months, except (a) as these Terms expressly provide in clauses 3.2, 6.5 and 18.3, (b) where we have charged you in error, or (c) where the law requires a refund.
10.8 Disputed charges. Tell us at support@sitelytc.com (opens in a new tab) within 30 days of a charge you dispute. We will investigate in good faith. Please contact us before raising a chargeback with your bank.
10.9 Partner discount. If your organisation signs up through a partner's referral link, in its first 30 days and before it first pays, you get 10% off your Plan's price for your first 3 paid months. The partner then sees your organisation's name, Plan and sign-up date, but never your data, and earns a commission from us that does not change what you pay.
10.10 Coupons. We may offer coupons that give a Plan free for a period, such as our launch coupon FIRST50 (the Scale Plan free for 3 months for the first 50 organisations). A coupon can be used once per organisation and once per person. It can only be used by an organisation that is not on a paid Plan, and only while places last. While it runs, your organisation has that Plan's features and limits. Nothing is charged because of a coupon. When the free period ends, your organisation goes back to the Free plan. You then have 7 days to choose a paid Plan before it becomes read-only, as when a free trial ends. If you choose a paid Plan earlier, the paid Plan applies from then on. Coupons have no cash value and cannot be transferred. We may withdraw a coupon that was obtained by abuse, for example through accounts or organisations created to use it more than once.
11. Confidentiality
11.1 Each party will keep the other's Confidential Information confidential, use it only to perform or exercise rights under these Terms, and disclose it only to its personnel, sub-processors and advisers who need it and are bound by similar duties. Customer Data is your Confidential Information.
11.2 Confidential Information means non-public information disclosed by one party to the other that is marked confidential or that a reasonable person would understand to be confidential. It does not include information that is or becomes public without breach, that the recipient already knew or independently developed, or that it lawfully received from a third party without a duty of confidence.
11.3 A party may disclose Confidential Information where a court, regulator or law requires it, after giving the other party prompt notice where lawful, and disclosing only what is required.
11.4 These duties last during the term and for 3 years after it ends, and for as long as the information remains a trade secret or personal data.
12. Intellectual property and feedback
12.1 We and our licensors own the Service, including its software, models we build, design, documentation, templates, and all improvements to them. Except for the rights expressly granted in these Terms, no rights pass to you.
12.2 You own Customer Data and Outputs, as clause 5.1 provides. Because Outputs are machine-generated, similar Outputs may be generated for other customers, and we do not warrant that any Output is protectable as intellectual property.
12.3 If you send us suggestions or feedback, we may use them freely without obligation to you. Feedback does not include Customer Data.
12.4 We may collect and use aggregated, de-identified data about how the Service is used (for example feature usage counts and error rates) to operate and improve the Service. That data does not identify you, your Users or any individual, and does not include the content of Customer Data.
12.5 You may refer to us as your supplier. We may name you as a customer only with your prior written consent.
13. Security, availability and support
13.1 We will maintain the safeguards in clause 6.4 and will not materially reduce the overall level of security of the Service during your term.
13.2 We aim for the Service to be available 99.5% of each calendar month, excluding scheduled maintenance announced at least 24 hours ahead, emergency security work, and causes outside our reasonable control. We publish current status and incidents on our status page. This is a target, not a guarantee, and no service credits apply unless an order form provides them.
13.3 We take encrypted backups of the Service database every night and keep them for up to 30 days, for disaster recovery only. We cannot restore an individual item you deleted from a backup.
13.4 Support is available by email at support@sitelytc.com (opens in a new tab) and through the in-app help form. We aim to answer within one business day (Monday to Friday, 10:00–18:00 IST, excluding Indian public holidays).
14. Suspension
14.1 We may suspend all or part of your access, with as much notice as is reasonable in the circumstances, if:
- we reasonably believe your use breaks clause 9 or the law, or threatens the security, integrity or availability of the Service or of other customers;
- a payment remains overdue as described in clause 10.5; or
- a court, regulator or law enforcement agency lawfully requires it.
14.2 We will limit the suspension to what is reasonably needed, tell you why unless the law prevents us, and restore access promptly once the cause is resolved. Suspension does not delete Customer Data.
15. Warranties and disclaimers
15.1 We warrant that (a) we will provide the Service with reasonable skill and care, (b) the Service will perform materially as described in its documentation, and (c) we will comply with laws that apply to us as provider of the Service, including the DPDP Act as a Data Processor and Data Fiduciary. If we breach (b), your remedy is that we use reasonable efforts to fix it and, if we cannot within 30 days, you may terminate the affected Plan and receive a pro-rata refund of prepaid fees.
15.2 You warrant that you have the rights, notices and consents described in clause 5.3, and that your use of the Service complies with the law.
15.3 Except as expressly stated in these Terms, and to the extent the law allows, the Service and Outputs are provided "as is". We disclaim all other warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, accuracy of Outputs and uninterrupted or error-free operation. The Free Plan is provided without warranty of any kind.
16. Indemnities
16.1 By us. We will defend you against any third-party claim that your use of the Service as permitted by these Terms infringes that party's intellectual property rights in India, and pay damages and costs finally awarded or agreed in settlement. This does not apply to claims arising from Customer Data, Outputs, Connected Services, combinations with things we did not supply, or use in breach of these Terms. If such a claim is made, we may modify the Service so it no longer infringes, obtain a licence for you, or terminate the affected Plan and refund prepaid fees for the remaining period.
16.2 By you. You will defend us against any third-party claim, including a regulator's action, arising from Customer Data, your breach of clause 5.3 or clause 9, or an action an Agent took with your Approval or under a permission given under clause 7.3, and pay damages, penalties and costs finally awarded or agreed in settlement.
16.3 Conditions. The indemnified party must notify the other promptly, give it sole control of the defence and settlement (no settlement may admit fault of the indemnified party without its consent), and give reasonable help at the indemnifying party's cost.
17. Limitation of liability
17.1 Neither party is liable for loss of profits, revenue, goodwill or anticipated savings, or for any indirect, special or consequential loss, even if it was foreseeable.
17.2 Each party's total liability arising out of or in connection with these Terms in any 12-month period is limited to the greater of (a) the fees you paid or owed for the Service in the 12 months before the event giving rise to the claim and (b) ₹10,000.
17.3 For breach of clause 6 (Data processing terms) or clause 11 (Confidentiality), our total liability is limited to three times the amount in clause 17.2.
17.4 Clauses 17.1 to 17.3 do not limit (a) your obligation to pay fees, (b) either party's indemnity obligations under clause 16, (c) liability for fraud, gross negligence or wilful misconduct, or (d) any liability that cannot be limited under Indian law.
17.5 The parties agree that these limits are a fair allocation of risk, reflected in the fees.
18. Term, termination and your data on exit
18.1 These Terms start when you accept them and continue until your organisation is closed. Each paid Plan runs month to month.
18.2 You may close your organisation at any time in the app; clause 10.7 applies to fees already paid.
18.3 Either party may terminate these Terms by written notice if the other (a) materially breaches them and does not remedy the breach within 30 days of notice describing it, or (b) becomes subject to insolvency proceedings under the Insolvency and Bankruptcy Code, 2016, or goes into liquidation. If you terminate for our breach, we will refund prepaid fees for the period after termination.
18.4 We may close a Free Plan organisation that has had no sign-in for 12 consecutive months, after at least 30 days' notice by email.
18.5 Your data on exit.
- When your organisation is closed or these Terms end, Agents stop, Connected Services are disconnected and the Service becomes read-only.
- For 30 days after that, you can sign in to export Customer Data, or ask us to restore the organisation.
- After those 30 days we permanently delete Customer Data from the live Service. Copies in encrypted backups expire within a further 30 days.
- We keep only what the law requires, such as tax invoices and billing records (which tax law requires us to keep for the statutory period), and the security audit log, which records who did what and when but not the content of documents. These stay protected by these Terms for as long as we hold them.
18.6 Clauses 5.1, 6.9, 10 (for amounts owed), 11, 12, 15.3, 16, 17, 18.5, 19 and 20 survive termination.
19. Governing law and disputes
19.1 These Terms are governed by the laws of India.
19.2 The parties will first try to settle any dispute through good-faith talks between senior representatives for 30 days after one party gives written notice of it.
19.3 A dispute not settled that way will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement or, failing agreement within 30 days, as that Act provides. The seat and venue of arbitration is New Delhi, the language is English, and the proceedings and award are confidential.
19.4 Subject to clause 19.3, the courts at New Delhi have exclusive jurisdiction. Either party may seek urgent interim relief from a competent court at any time.
20. General
20.1 Changes to these Terms. We may update these Terms. For a material change we will give at least 30 days' notice by email and in the app before it takes effect, and the change will apply from your next renewal after that. If you do not agree, you may cancel before it applies. A change required by law may take effect sooner if the law requires.
20.2 Notices. We send notices to the email address of your organisation owner and, where relevant, in the app. You send notices to support@sitelytc.com (opens in a new tab) with "Legal notice" in the subject, or to our registered office. Email notices are received on the next business day after sending.
20.3 Assignment. You may not assign these Terms without our written consent, which we will not unreasonably withhold. We may assign them to an affiliate or to a successor of our business, with notice to you.
20.4 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, or failures of public networks or upstream cloud providers. This does not excuse payment obligations.
20.5 Entire agreement. These Terms, the Privacy Policy and any order form are the entire agreement between the parties about the Service and replace all earlier understandings. Each party confirms it has not relied on any statement not set out in them.
20.6 Other terms. If any provision is held invalid, the rest remains in force and the invalid provision is read down to the extent needed. A failure to enforce a right is not a waiver of it. The parties are independent contractors. No one other than the parties has rights under these Terms. Any purchase-order terms you issue do not apply.
20.7 Contact. Sitelytc Digital Media Private Limited (CIN U63121DL2025PTC453508), New Delhi, India. Email: support@sitelytc.com (opens in a new tab). Grievance officer: see the Privacy Policy.
20.8 Language. These Terms, the Privacy Policy and our other legal pages are written in English, and the English text is the binding version. The Service can show its interface in Hindi; that translation is for convenience only and does not cover these legal pages.
21. Partner programme
This section applies only if you join our partner programme, for example as a chartered accountant, agency or consultant who recommends Kritvia to businesses (a Partner).
21.1 Joining. You apply in the app. We decide whether to accept you, and we may pause or end your participation at any time, with notice. Your referral code works only while you are active.
21.2 Commission. You earn 20% of what each business you refer pays us for its Plan for 12 months from its sign-up. Commission is not earned on taxes, or on amounts that are refunded or charged back. A business counts as yours only if it signs up through your link or code in its first 30 days and before it first pays. Each business can have only one Partner, and you cannot refer your own organisation.
21.3 Payment. We pay commission that is due to the UPI ID in your partner profile, normally within 45 days after the end of the month in which it was earned, less any tax we must deduct at source. You are responsible for your own taxes and, where required, for GST registration and invoicing us.
21.4 Conduct. You must describe Kritvia, its prices and its features accurately; tell businesses that you earn a commission if they ask; not send spam or messages people did not agree to receive; not bid on "Kritvia" or "Sitelytc" in search ads; and not make promises on our behalf. You are an independent party and cannot bind us. You must not ask a business for its Kritvia sign-in details, and you get no access to its Customer Data through the programme.
21.5 Abuse. We may withhold or reverse commission on self-referrals, fake or duplicate sign-ups, payments later refunded or charged back, or any breach of this section.
21.6 Changes. We may change the commission or discount for future referrals with 30 days' notice. Businesses already referred keep the terms that applied when they signed up.
21.7 Your data. We handle your partner details as our Privacy Policy describes.
